Service Agreement

4. Service Description

Ulink is an online asset trading platform. Ulink does not provide fiat currency trading functions as part of this service. Ulink only acts as a trading platform provider, not as a buyer or seller of both parties to the transaction. According to the further detailed provisions in paragraph 5 below, users must register and open an account with Ulink, and deposit digital assets before starting a transaction. 5. Account Registration and Requirements

5.1 Register

All users who use this service (hereinafter referred to as "users") must apply for an account in Ulink before using this service. When registering an account, you must provide your real name, email address and password, and accept these terms of use, privacy statement and consent. Ulink may decide to refuse to open an account for you. You agree to provide complete and accurate information when opening an account, and agree to update any information you provide to Ulink in a timely manner to maintain the completeness and accuracy of the information. 5.2 User Authentication

By registering an account on the Ulink platform, you agree to provide the personal information required for identity verification. This information is specifically used to find clues about money laundering, terrorist financing, fraud and other financial criminal activities carried out on the Ulink platform. We will collect, use and share this information in accordance with our published "Privacy Policy". In addition to providing this information, in order to comply with the industry standards for global data retention, you agree to allow us to keep a record of this information for the duration of your account and 3 months after the account is closed. You also authorize us, directly or through a third party, to conduct investigations necessary to verify your identity or protect you and/or us from financial crimes (such as fraud).
The identity verification information we request may include, but is not limited to, your: name, email address, contact information, phone number, user name, government-issued ID, date of birth, and other information collected during account registration. When providing the requested information, you confirm that the information is true and accurate. By registering an account, you hereby authorize Ulink to conduct investigations that Ulink deems necessary, either directly or through a third party, to verify your identity or protect you or Ulink from fraud or other financial crimes, and take actions that Ulink deems necessary based on the results of the investigation. You also acknowledge and agree that your personal information may be disclosed to credit reporting agencies and fraud prevention or financial crime prevention agencies, and these agencies may respond fully to our investigation.

5.3 Account Usage Requirements

The account can only be used by the account registrant. Ulink reserves the right to suspend, freeze or cancel accounts used by persons other than the account holder. If you suspect or discover unauthorized use of your username and password, you should notify Ulink immediately. Ulink is not responsible for any loss or damage caused by you or any third party (whether authorized by you) using your account.

5.4 Account Security

Ulink has been committed to maintaining the security of users' entrusted funds and has implemented industry standard protections for services. However, the behavior of individual users creates risks. You agree to treat your access credentials (such as username and password) as confidential information and not disclose this information to any third party. You also agree that you are solely responsible for taking necessary security measures to protect the security of your own account and personal information.

You are solely responsible for keeping your Ulink account and password, and at the same time responsible for all transactions under the account. Ulink is not responsible for any loss or consequences caused by authorized or unauthorized use of your account credentials, including but not Limited to information disclosure, information release, agreement or submission of various rules and agreements by clicking on the website, online renewal agreements, etc.

By creating an account, you hereby agree to:

(i) If you know of any unauthorized use of your Ulink account and password or any other violation of security rules, you will immediately notify Ulink;

(ii) You will strictly abide by the website/service's security, authentication, transaction, charging, withdrawal mechanism or procedure;

(iii) At the end of each visit, you will take appropriate steps to log out of the website;

(iiii) If you register using other people's information, the proceeds will be treated as illegal gains, and Ulink will not be responsible for any losses caused.

6. Service Use Guide

6.1 License

On the premise that you continue to comply with the terms and conditions specified in these Terms of Use, Ulink grants you a revoked, limited, royalty-free, non-exclusive, non-transferable and non-sublicensable license to be compatible with your computer or the Internet The device accesses and uses this service for its own personal internal purposes. 7. Order and Service Fee

7.1 Order

After issuing an instruction ("order") to use this service for trading, your account will be immediately updated to reflect the outstanding order, and your order will be listed on Ulink's market bulletin board to match other users' orders. If all or part of your order matches another user's order, the service will perform an exchange ("transaction"). After the transaction is executed, your account will be updated to reflect that the order is closed because it has been fully executed, or it will be updated to reflect that the order has been partially fulfilled. The order will remain in an uncompleted state until it is fully executed or cancelled according to paragraph (b) below. In order to conclude the transaction, you authorize Ulink to temporarily control the assets you dispose of in the transaction.

7.2 Cancel

You can cancel an order initiated through this service only before your order matches the order of other users. Once your order matches another user's order, you may not change, revoke or cancel Ulink's authorization to complete the order. If any order has been partially matched, you can cancel the unmatched part of the order, but if the unmatched part is already matched, you cannot cancel. Ulink reserves the right to refuse any cancellation request related to the order after you submit the order. 7.3 Expenses

You agree to pay Ulink the prescribed fees, and Ulink may update the service fees at any time at its sole discretion. You authorize Ulink to deduct any applicable fees you owe under these Terms of Use from your account.

8. Contract transactions

8.1 Risk

Contract trading risks are extremely high. As a contract trader, you acknowledge and agree that you shall bear the risks of accessing and using contract transactions and borrowing services by yourself:

8.2 Contract transaction

You represent and warrant that you are neither from the United States or Canada, nor on any trade or economic sanctions list, such as being designated as a "specially designated national" by OFAC (Office of Foreign Assets Control of the United States Department of the Treasury);

You should fully understand the risks associated with contract trading and lending, and be fully responsible for any trading and non-trading activities on your Ulink account. Do not engage in transactions above your financial ability;

You are fully responsible for knowing the true status of any position, even if Ulink incorrectly displays it at any time;

You agree to keep in your Ulink margin account a sufficient amount of assets required by Ulink for users to engage in contract transactions, and to repay your loan in full and in time. Failure to maintain sufficient assets or fail to return the outstanding loan on time may result in forced liquidation of the assets in your margin account;

Even if it has the ability to force liquidation of any position, Ulink cannot guarantee to stop losses. If your position is liquidated and your assets are not enough to pay the outstanding loan, you will still be responsible for any additional asset shortages;

Ulink may take measures at its discretion to mitigate your potential losses on your behalf, including but not limited to transferring your margin account to your exchange account and/or from your exchange account to your margin account;

During the maintenance period of the Ulink system, you agree to be fully responsible for managing your margin account under risk, including but not limited to closing positions and repaying your loan.

You agree that your bank will conduct all transactions, contract transactions and/or borrowings, and be fully responsible for your activities. Ulink does not bear any responsibility for any loss or damage caused by your use of any service or because you do not understand the risks associated with the use of assets or the risks associated with your use of our services.

You understand that all outstanding orders will be cancelled immediately upon settlement. You may lose all your positions and all funds in your futures account. If Ulink cannot settle all positions at the time of liquidation, the counterparty liquidation will take effect. Ulink takes all possible measures to avoid counter-party liquidation in order to minimize the potential impact of any counter-party liquidation. Unfortunately, due to the volatility of the market and the high leverage offered to customers, it is impossible to completely avoid this possibility. Due to network delays, computer system failures and other possible irresistible factors, the execution of Ulink contract services may be delayed, suspended, suspended or deviated. 8.3 Contract prohibitions

Users (the system judges user account risks through multi-dimensional feature identification) are prohibited from using multiple accounts and devices for illegal arbitrage (including but not limited to commission, rebate, bonus, hedging, etc.). The platform will take corresponding measures for users who are detected by the system as illegal arbitrage (including but not limited to banning, freezing assets, restricting login, real-name authentication, etc.)

In order to ensure the normal trading experience of ordinary users, the platform reserves the right to exercise the following measures for users who are detected by the system to use ultra-short-term transactions (ultra-short-term frequent opening and closing positions):

Immediately terminate your account and access to our server, and deduct illegal gains;

All transactions that constitute ultra-short-term trading activities are judged to be invalid (that is, transactions are treated as never occurring);

According to our current market prices, close all transactions that constitute ultra-short-term trading activities;

Increase your holding time (that is, hold a position for a period of time before you can close it).

Ulink strictly prohibits unfair transactions. If you engage in the following behaviors, Ulink reserves the right to exercise executive control over your account at its sole discretion:

Participate in price operations or any other malicious market behavior;

May use loopholes in this service or other unreasonable means to harm other users or Ulink;

Participate in any other activities that Ulink deems harmful to the market.

9. Responsibility

9.1 Warranty Disclaimer

To the fullest extent permitted by applicable law, this service, Ulink’s materials, and any products, services or other items provided by Ulink or on behalf of Ulink are provided on an “as is” and “available” basis, and Ulink expressly waives , You also waive all other guarantees of any kind, whether express or implied, including but not limited to marketability, suitability for a particular purpose, ownership or non-infringement, or arising from the performance process, transaction process, or transaction use Guarantee. Without limiting the above provisions, Ulink makes no representations or warranties regarding the accuracy, completeness, reliability, validity, error-free or virus-free or other harmful components of the website, service or Ulink materials. Ulink does not guarantee that any order will be executed, accepted, recorded or kept in an uncompleted state. Except for the explicit statement stipulated in this agreement, you hereby confirm and agree that you have not relied on any other written or oral statements or agreements in using and obtaining this service. Without limiting the above provisions, you hereby understand and agree that Ulink is not responsible for any loss or damage caused by or related to the following reasons: (A) Inaccuracy, defect or omission of the price data of the investment target; ( B) Any errors or delays in the transmission of such data; (C) The interruption of such data, and (D) Any damage caused by the actions, omissions, or violations of this agreement by other users.

If prohibited by the applicable laws of the jurisdiction where you live, the implied warranty disclaimer contained in this agreement may not apply.

9.2 Disclaimer of Damages and Limitation of Liability

9.3 Compensation

10. Announcement

11. Termination of the agreement

You agree that Ulink has the right to immediately suspend your account (and any accounts that are beneficially owned by related entities or related parties), freeze or lock the funds in all such accounts, and suspend your access to Ulink for any reason, including any suspected These accounts violate these terms of use, our privacy statement or any applicable laws and regulations. You agree that Ulink is not responsible for any permanent or temporary modification of your account, or suspension or termination of access to all or part of the service. The account is subject to government procedures, criminal investigations, or other pending litigation;

We found unusual activity in the account;

We have detected illegal access to the account;

In the event of any of the following events, Ulink has the right to terminate this agreement directly by canceling your account, and has the right to permanently freeze (cancel) your authorization to Ulink for the account and cancel the corresponding Ulink account:

After Ulink terminates providing services to you;

You are designated to register as a Ulink user again directly or indirectly in the name of any other person;

The information you provide is untrue, inaccurate, outdated or incomplete;

When modifying these terms of service, you clearly declare and notify Ulink that you are unwilling to accept the modified terms;

Your request to terminate the service; and

Any other circumstances in which Ulink believes that the service should be terminated.

If your account is terminated, the account and transaction information that meets the data retention standards will be stored safely for 3 months. In addition, if any transaction has not been completed during the account termination process, Ulink has the right to inform your counterparty of the situation at that time. You agree that user-initiated account withdrawal (right to erasure under GDPR or other equivalent regulations) will also be bound by the above termination agreement.

If Ulink is notified that any funds in your account are stolen or are not legally owned by you, Ulink can but is not obliged to exercise management control over the affected funds and your account. If it is really necessary to manage and control part or all of the funds or accounts, Ulink can continue to hold it until the dispute is resolved, and evidence of resolution acceptable to Ulink has been provided to Ulink in a form acceptable to Ulink. Ulink will not participate in any such disputes or dispute resolution. You agree that Ulink is not responsible for any such control, or your inability to withdraw funds or execute transactions during any control period.

11.1 Remaining funds after account termination

Except for the provisions of (b) below, once the account is closed/cancelled, all balances on the account (including fees and debts owed to Ulink) will be paid to Ulink immediately. After paying all outstanding fees to Ulink (if any), the user will have 5 working days to withdraw all funds from the account.

11.2 The remaining funds after the account is terminated due to fraud, illegality or violation of these terms of use

Ulink reserves full custody of funds and user data/information, and these funds and user data/information may be transferred to government agencies in the event of account suspension/closure due to fraud investigations, illegal investigations or violations of these terms of use.

12. Non-Financial Advice

Ulink is not your broker, intermediary, agent or consultant. In any transaction or other decision or activity you use this service, Ulink does not have a fiduciary relationship or fiduciary obligation with you. Any communication or information provided by Ulink to you shall not act or be regarded or interpreted as investment advice, financial advice, trading advice or any other type of advice. All transactions are automatically executed based on the parameters of your order description and published transaction execution procedures. You should determine whether any investment, investment strategy or related transaction is suitable for you based on your personal investment goals, financial situation and risk tolerance, and are solely responsible. Regarding your specific situation, you should consult a legal or tax professional. Ulink does not recommend to you to buy, acquire, sell or hold any digital currency. Before making a decision to buy, sell or hold any digital currency, you should conduct due diligence and consult your financial advisor before making any investment decision. Ulink is not responsible for your decision to buy, sell or hold digital currency based on the information provided by Ulink.

13. Compliance with Local Laws

Users are responsible for complying with local laws related to their use of Ulink services locally. Users must also consider all aspects of taxation in accordance with local laws, including withholding, collection, reporting and remittances to their corresponding tax authorities. All users of Ulink and any of its services have confirmed and stated that the source of their funds is legal and does not result from illegal activities.
